Terms & Conditions

These Terms govern all procurement, supply, sourcing, and custom manufacturing engagements with Kynthellos. Please read them carefully before placing an order or entering into any procurement arrangement.

1. Acceptance of Terms

By engaging with Kynthellos — whether through an inquiry, purchase order, quotation acceptance, or any formal or informal procurement communication — you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ('Terms').

These Terms apply to all transactions, including the supply of standard catalogue components, the sourcing of components from third-party manufacturers, and the custom manufacturing of products designed to client specifications.

Kynthellos reserves the right to update or modify these Terms at any time. Continued engagement following any such updates constitutes acceptance of the revised Terms. Clients are advised to review this page periodically.

2. Scope of Services

Kynthellos operates as an engineering procurement and supply partner. Our services broadly cover three engagement types:

a) Standard Supply: Where the requested product or component is available from our existing supplier network, Kynthellos will procure, inspect, and deliver the product to the client's specified location.

b) Sourced Supply: Where the requested product is not immediately available in standard stock, Kynthellos will identify and qualify an appropriate manufacturer or distributor, procure the product on behalf of the client, and deliver upon receipt.

c) Custom Manufacturing: Where the client's requirement cannot be fulfilled by an existing product, Kynthellos will work with an appropriate manufacturing partner to produce a custom component or assembly based on the client's specification drawings, approved samples, or detailed written requirements.

The specific scope applicable to each order will be confirmed in writing through a Proforma Invoice, Purchase Order acknowledgement, or formal quotation document issued by Kynthellos.

3. Orders & Purchase Agreements

All orders must be placed in writing via a formal Purchase Order (PO) or equivalent procurement documentation. Verbal instructions and informal email requests do not constitute binding orders unless confirmed in writing by an authorised representative of Kynthellos.

An order is considered accepted only upon written acknowledgement by Kynthellos, which may be in the form of a Proforma Invoice, Order Confirmation, or formal quotation acceptance note.

Kynthellos reserves the right to decline any order at its sole discretion without obligation to provide a reason.

For Government procurement orders placed through the Government e-Marketplace (GeM) portal, the terms of the respective GeM order, including GeM General Terms and Conditions (GTC) and applicable Special Terms and Conditions (STC), shall prevail over these Terms to the extent of any conflict. All GeM orders are subject to the rules and regulations of the GeM portal as updated by the Ministry of Commerce and Industry, Government of India.

4. Pricing, Quotations & GST

All prices quoted by Kynthellos are exclusive of applicable Goods and Services Tax (GST) unless expressly stated otherwise. GST will be charged at the prevailing rate applicable to the product or service category at the time of invoicing.

Quotations issued by Kynthellos are valid for the period specified in the quotation document. Where no validity period is specified, quotations are valid for 15 calendar days from the date of issue.

For products sourced from third-party manufacturers, prices are subject to change based on raw material costs, supplier pricing, currency fluctuations, or changes in government duties and taxes. Any such changes will be communicated to the client before order confirmation.

For custom manufacturing orders, pricing is based on client-provided specifications. Any change in specifications after order confirmation may result in revised pricing, which will be communicated and agreed upon in writing before production proceeds.

For orders placed through GeM, prices must comply with GeM pricing policies, including the requirement to offer competitive market prices consistent with the seller's GeM listed price.

5. Delivery & Lead Times

Delivery timelines are indicative and begin from the date of order confirmation and receipt of any required advance payment or documentation. Kynthellos will communicate estimated delivery timelines at the time of order confirmation.

For standard supply orders, delivery timelines depend on the availability of stock in our supplier network.

For sourced supply orders, delivery timelines include time required for supplier identification, procurement, quality inspection, and logistics.

For custom manufacturing orders, lead times include design review, production scheduling, manufacturing, quality inspection, and shipping. Lead times will be confirmed after technical review of the client's specifications.

Kynthellos will make reasonable efforts to meet confirmed delivery timelines. However, delays caused by supplier production schedules, logistics disruptions, force majeure events, or client-initiated changes to specifications are beyond our direct control. Kynthellos will promptly communicate any anticipated delay.

All deliveries are made to the client's designated delivery address on a Free Delivery at Site basis within India unless otherwise agreed. Delivery charges, freight, and insurance arrangements for international deliveries will be agreed separately.

6. Custom Manufacturing Orders

Custom manufacturing orders are initiated only upon the client providing complete and approved technical documentation, including engineering drawings, material specifications, dimensional tolerances, finish requirements, and any special testing or inspection requirements.

Kynthellos will review the provided documentation and confirm technical feasibility before accepting the order. Any ambiguity or insufficiency in the documentation must be resolved before production commences.

The client is solely responsible for the accuracy and completeness of all technical specifications provided. Kynthellos will manufacture to the specification as provided and will not be liable for defects arising from errors or omissions in client-supplied documentation.

Prototype or first-article samples may be produced and submitted for client approval before full production commences, where applicable. Full production will only proceed upon written approval of the sample.

Any changes to specifications, quantities, or delivery timelines after order confirmation must be communicated in writing and may result in revised pricing and lead times, which will be agreed upon before implementation.

7. Inspection, Acceptance & Rejection

Kynthellos performs pre-dispatch inspection on all outgoing goods as part of our standard supply process. Inspection records are maintained internally.

Upon delivery, the client is responsible for inspecting the goods within 7 working days of receipt. Any claim for shortage, visible damage, or non-conformance to specifications must be raised in writing within this period.

Claims raised after the 7-day acceptance window will not be entertained unless the defect is a latent manufacturing defect not detectable upon reasonable inspection.

Rejected goods must not be used or modified before a replacement or resolution is agreed upon. Kynthellos will, at its discretion, repair, replace, or credit the value of confirmed defective goods.

Goods returned without prior written approval from Kynthellos will not be accepted.

8. Payment Terms

Payment terms are specified in the quotation or Proforma Invoice for each order. Default payment terms are 100% advance for first-time clients unless a credit arrangement is separately agreed in writing.

For repeat clients with an established credit arrangement, payment terms will be as agreed and documented in the applicable credit agreement.

For custom manufacturing orders, a minimum advance of 50% of the order value is required before production commences, with the balance due prior to dispatch unless otherwise agreed.

Payments must be made via bank transfer (NEFT/RTGS/IMPS) to the bank account details provided on the invoice. Kynthellos does not accept cash payments.

For GeM orders, payment will be processed through the Public Financial Management System (PFMS) as per the GeM payment protocols, typically within 10 working days of acceptance of goods and submission of required documentation.

Overdue payments may attract interest at the rate of 1.5% per month on the outstanding balance. Kynthellos reserves the right to suspend services for accounts with overdue payments.

9. Intellectual Property & Confidentiality

All technical drawings, designs, specifications, and documentation provided by the client for custom manufacturing purposes remain the exclusive intellectual property of the client. Kynthellos will not use, reproduce, or disclose such documentation for any purpose other than fulfilling the specific order for which it was provided.

Kynthellos will treat all client-provided technical information as confidential and will ensure that manufacturing partners engaged for production are bound by equivalent confidentiality obligations.

All catalogues, product data, pricing information, and proprietary documentation produced by Kynthellos remain the intellectual property of Kynthellos and may not be reproduced or distributed without written consent.

10. Limitation of Liability

Kynthellos's liability in connection with any order is limited to the invoice value of the goods or services in question. Kynthellos will not be liable for indirect, consequential, incidental, or special damages, including loss of production, loss of revenue, or damage to reputation arising from the supply or failure to supply goods.

Kynthellos acts as a procurement and supply intermediary and is not the original manufacturer of products sourced from third-party suppliers. Manufacturer warranties and product liability, where applicable, will be passed through to the client to the extent they are available.

For custom manufacturing orders, Kynthellos's liability is limited to defects arising from non-conformance to client-provided specifications. Kynthellos is not liable for design defects or specification errors that originate with the client.

11. Force Majeure

Kynthellos will not be held liable for delays or failures to perform obligations under these Terms arising from circumstances beyond its reasonable control. These include, but are not limited to, natural disasters, acts of government, import or export restrictions, port or logistics disruptions, labour disputes, power outages, pandemics, or other events constituting force majeure.

In the event of a force majeure, Kynthellos will notify the client as soon as reasonably practicable and will work to resume normal operations as quickly as possible.

12. Government e-Marketplace (GeM) Orders

Kynthellos is registered as a seller on the Government e-Marketplace (GeM) portal and is committed to fulfilling GeM orders in compliance with all applicable GeM General Terms and Conditions (GTC), Special Terms and Conditions (STC), and portal-specific policies.

Products and services listed on GeM are priced competitively and in accordance with GeM's pricing guidelines. Kynthellos does not offer the same products at lower prices to other buyers in comparable quantities below its GeM-listed price.

Delivery under GeM orders is provided on a Free Delivery at Site basis, inclusive of loading and unloading at the delivery location.

Where a minimum warranty period is specified under GeM terms for a product category, Kynthellos will ensure that the warranty obligation is passed through from the manufacturer to the buyer.

Liquidated Damages (LD) for delay under GeM orders will be charged in accordance with the applicable GeM order terms, typically at 0.5% per week of delay, up to a maximum of 5% of the order value.

Any dispute arising from a GeM order will be handled in accordance with the dispute resolution mechanism provided under the GeM portal terms and applicable Government procurement rules.

13. Governing Law & Dispute Resolution

These Terms and all transactions between Kynthellos and its clients are governed by the laws of India, including the Indian Contract Act, 1872, the Sale of Goods Act, 1930, the Goods and Services Tax (GST) Acts, and other applicable legislation.

In the event of a dispute arising from any transaction, the parties will first attempt to resolve the matter through good-faith negotiation. If no resolution is reached within 30 calendar days, the dispute may be referred to arbitration under the Arbitration and Conciliation Act, 1996.

Arbitration proceedings, if initiated, will be conducted in Bengaluru, Karnataka, and the language of arbitration will be English.

Subject to the above, the courts of Bengaluru, Karnataka, will have exclusive jurisdiction over any dispute arising from or related to these Terms.

14. Contact & Correspondence

All formal communications, including purchase orders, specification submissions, rejection claims, and dispute notices, must be directed to Kynthellos in writing via email or registered post to our registered business address.

These Terms & Conditions are subject to change. The version published on this page represents the current Terms applicable to all new engagements.
